01. Acceptance of Terms

By accessing and using the website of Allshore Technologies, LLC, a Massachusetts limited liability company ("Allshore," "we," "our," or "us"), located at allshore.io ("the Site"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use our website.

These terms govern your use of the Site. If you have entered into a separate written agreement with us, such as a Master Services Agreement or a statement of work, that agreement governs the services described in it and prevails over these terms to the extent of any conflict, including on governing law and dispute resolution.

02. Use License

Permission is granted to temporarily download one copy of the materials on Allshore Technologies' website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display
• Attempt to reverse engineer any software contained on the website
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or mirror the materials on any other server

The materials on Allshore Technologies' website are provided on an 'as is' basis. Allshore Technologies makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

04. Limitations

In no event shall Allshore Technologies or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Allshore Technologies' website, even if Allshore Technologies or an authorized representative has been notified orally or in writing of the possibility of such damage.

The materials appearing on Allshore Technologies' website could include technical, typographical, or photographic errors. Allshore Technologies does not warrant that any of the materials on its website are accurate, complete, or current. Allshore Technologies may make changes to the materials contained on its website at any time without notice.

Allshore Technologies has not reviewed all of the sites linked to our website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Allshore Technologies. Use of any such linked website is at the user's own risk.

07. Modifications

Allshore Technologies may revise these Terms of Service at any time without notice. By using this website, you are agreeing to be bound by the then current version of these Terms of Service.

08. Governing Law and Dispute Resolution

These terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions.

Informal resolution first. Before starting a formal proceeding, you agree to contact us at legal@allshore.io with a short written description of the dispute and the relief you are seeking. We will do the same. If the matter is not resolved within 30 days, either party may proceed to arbitration.

Binding arbitration. Any dispute arising out of or relating to these terms or the Site that is not resolved informally shall be settled by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The seat of the arbitration is Boston, Massachusetts, and the proceedings shall be conducted in English. Judgment on the award may be entered in any court of competent jurisdiction. This arbitration agreement is governed by the Federal Arbitration Act.

What arbitration does not cover. Either party may bring an individual claim in small claims court if it qualifies, and either party may ask a court for injunctive or other equitable relief to protect intellectual property or confidential information without first going to arbitration.

Individual basis only. Disputes will be arbitrated on an individual basis. You and Allshore each waive any right to participate in a class, collective, consolidated, or representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim alone is severed and heard in the courts of the Commonwealth of Massachusetts, and the remainder stays in arbitration.

How to opt out. You may opt out of this arbitration agreement by emailing legal@allshore.io with the subject line "Arbitration Opt-Out" within 30 days of first accepting these terms. Opting out affects nothing else in this agreement, and we will not treat it as a reason to refuse you service.

Where local law says otherwise. Nothing in this section deprives you of the protection of mandatory consumer law in your country of residence, or of your right to bring proceedings there where that law gives you that right. Where such law makes this arbitration agreement or the waiver above unenforceable as to you, that part does not apply to you, and disputes are heard in the state and federal courts of the Commonwealth of Massachusetts unless your local law requires otherwise.

09. Intellectual Property

All content, trademarks, service marks, trade names, logos, and icons are proprietary to Allshore Technologies or their respective owners. Nothing contained on the Site should be construed as granting any license or right to use any trademark displayed on the Site without the written permission of Allshore Technologies or such third party that may own the trademarks displayed on the Site.

10. User Conduct

You agree not to use the Site to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any harmful, offensive, or illegal content
• Interfere with or disrupt the Site or servers
• Attempt to gain unauthorized access to any portion of the Site
